SOLDIFY (“the Agency”) specializes in digital advertising services, including the creation, optimization, and management of paid ads (e.g., Google Ads). The Agency does not submit, manage, or oversee product feeds to Google Merchant Center. Clients are solely responsible for submitting their own product feeds and ensuring compliance with Google Merchant Center policies.
Client Responsibilities
The client acknowledges and agrees to the following:
- Product Feed Submissions: The client is solely responsible for submitting product data to Google Merchant Center, ensuring accuracy, compliance with Google’s policies, and adherence to all applicable laws (e.g., FTC guidelines, intellectual property laws, safety standards).
- Product Claims & Promotions: The client retains full liability for all product descriptions, pricing, imagery, claims, and promotions, even after Google approves the product feed. The Agency does not verify, endorse, or assume responsibility for the legality, safety, or accuracy of the client’s products or promotions.
- Post-Approval Compliance: The Agency is not responsible for monitoring or updating product listings, resolving customer disputes, or addressing legal/regulatory issues arising from the client’s use of Google Merchant Center or advertising platforms.
Limitation of Liability
The Agency’s services are limited to ad creation, optimization, and management. The Agency disclaims all liability for:
- Google Merchant Center product feed submissions, approvals, or rejections.
- Accuracy, legality, or consequences of the client’s product promotions, including false advertising claims, fines, recalls, or intellectual property disputes.
- Changes to Google’s policies, algorithm updates, or platform requirements affecting product listings or ads.
No Warranty
The Agency provides no warranties, express or implied, regarding the performance of ads, client revenue outcomes, or Google Merchant Center approvals.
Indemnification
The client agrees to indemnify and hold harmless the Agency, its affiliates, and employees from any claims, damages, or costs (including legal fees) arising from:
- The client’s product feed submissions, promotions, or business practices.
- Third-party disputes (e.g., customers, regulators, Google) related to the client’s products or ads.
Governing Law
This disclaimer supplements any existing agreements and is governed by the laws of UK.
